NORMADOC License

This license (hereinafter the "NORMADOC License" or the "License") governs access to and use of the content, products, and services offered on or via the online website(s) published by NORMADOC (hereinafter the "Site"). It applies to any person accessing the products and/or services offered on or via the Site (the "Products" and/or the "Services") and, more generally, to any person accessing the Site and its content (the "User").
Access to and/or use of the Site shall be deemed unconditional acceptance of this License. Where the licensee is a distinct person, the signatory or, more generally, the person accepting this License, guarantees compliance with its terms by its Users.
Certain Products and/or Services provide access to third-party publishers’ products and/or services (the "Publishers"), subject to specific licenses (Article 10), the acceptance of which is also required.
Finally, certain provisions are only applicable to consumer Users or professional Users who operate off-premises, for purposes outside their primary industrial activity, and who employ only five or fewer employees (the "Consumers"). These provisions are indicated as such below.
Unless otherwise provided in this License, the information contained in any other document whatsoever is for informational purposes only.

1. Access to the Site
    1.1 Authorized Users
Only the Users described below are authorized to use the Site.
Public areas
The public areas of the Site may be accessed and/or used by any natural person who has read and fully accepted the NORMADOC License and the NORMADOC Privacy and GDPR Policy, in their most recent versions as published on the Site at the time of the visit or use.
Personal areas (Subscribers, Clients or other restricted-access areas)
The personal areas may be used by any natural person who:
- has read and fully accepted this License and the NORMADOC Privacy and GDPR Policy, in their most recent versions as published on the Site(s) at the time of such use; and
- has entered into an agreement with NORMADOC or one of its partners granting access to one or more of these areas (the “Associated Agreement”), OR has been identified as an authorized User in an Associated Agreement (with only the signatories of the Associated Agreement hereinafter referred to as the “Client”); and
- is not, and has not previously been, a party to or beneficiary of any agreement with NORMADOC that was suspended or terminated for material breach (unless NORMADOC decides to disregard such breach).
    1.2. Personal Areas
1.2.1 The User accesses their personal area using login credentials (the “Access Credentials”) provided by email upon confirmation of the Associated Agreement, and no later than when the selected Products or Services are made available online. The Product(s) and/or Service(s) the Client is entitled to access are specified in the Associated Agreement.
1.2.2 Use, confidentiality and security of Access Credentials
Access Credentials are personal, individual, confidential, and non-transferable. Lending, sharing, transferring, or selling Access Credentials is strictly prohibited and unenforceable against NORMADOC.
The Client undertakes to:
- only disclose the Access Credentials to authorized Users;
- promptly notify NORMADOC in the event of loss or theft of any identification elements, with written confirmation sent to support@normadoc.com;
- promptly notify NORMADOC when a User leaves its organization, in order to allow closure of the relevant personal account(s);
- hold NORMADOC harmless from any claim or action brought by any third party arising from any use of the personal areas via its Access Credentials not authorized under this License or the Associated Agreement.
The User must keep their Access Credentials confidential and, together with the Client — who remains ultimately responsible — ensure the security of the devices and workstations used to access the Site. To this end, the User undertakes to :
• Change their password upon first login to one that is sufficiently strong (see the CNIL's recommendations: https://www.cnil.fr/fr/les-conseils-de-la-cnil-pour-un-bon-mot-de-passe);
• Not disclose their Access Credentials to any third party or unauthorized users;
• Take all necessary precautions to prevent third parties or unauthorized Users from accessing their User account, even unintentionally (including, for example, locking access to the device used to consult the Site - computer, smartphone, etc. - with a separate strong password);
• Not allow third parties or unauthorized Users to access their User account;
• Immediately notify the Client - if the Client is a distinct person or entity - of any loss, theft, or unauthorized use of the Site or of their Access Credentials, so that NORMADOC can take appropriate remedial action without delay.
• More generally, it is the User’s responsibility to take all appropriate measures to protect the hardware, software, and network access used to access the Site from possible contamination by malicious programs or other security incidents.
In the event of loss or theft of Access Credentials, or unauthorized use of the Site, NORMADOC will block the relevant access as soon as reasonably possible following receipt of an email requesting such action (proof of the User’s identity and authority may be required, depending on the circumstances).
In the absence of such notification, or during the period prior to the blocking of unauthorized access to the relevant User account, NORMADOC shall not be held liable for any potentially harmful consequences resulting from access to the User account by an unauthorized third party- unless the disclosure of Access Credentials to such third party was caused by NORMADOC’s own fault or negligence (which shall not be inferred solely from a failure to block access within a reasonable time frame).
As a result, except where the disclosure of Access Credentials is attributable to NORMADOC’s fault or negligence, and except in the case of Consumers, the User agrees that all actions carried out using their User account shall be deemed to have been performed by them, in the absence of a notification of loss, theft, or unauthorized use of Access Credentials, or during the period prior to NORMADOC’s reasonable blocking of such unauthorized access.
    1.3 Monitoring and security
The Client is hereby informed that NORMADOC conducts random checks to ensure compliance with confidentiality and non-sharing commitments, notably by analyzing IP addresses used to access the Sites. Certain findings - such as access to the Client’s credentials from an unusually high number of different originating IP addresses, or an abnormally high number of pages viewed from a single IP address—shall be sufficient to establish a breach of the Client’s obligations and shall justify the suspension of the License.
In any case, and without prejudice to NORMADOC’s other rights and remedies (including, without limitation, those relating to the enforcement of the Associated Agreement), NORMADOC reserves the right to deactivate any User account or other access in the event of :
• Intrusion or attempted intrusion into NORMADOC’s systems;
• Misuse or misappropriation of the Site’s system resources;
• Actions causing a disproportionate load on the Site or NORMADOC’s infrastructure;
• Violations of the Site’s security or authentication measures, or of Information integrity;
• Actions that interrupt, suspend, slow down, or otherwise hinder access to the Site;
• Any action that infringes upon the rights or interests of NORMADOC or other Users.

2. Site availability
The User may access the Site 24 hours a day, 7 days a week, except in cases of Force Majeure or events beyond NORMADOC’s control, and subject to any maintenance operations and updates necessary for the proper functioning of the Site and its associated equipment.
Maintenance operations and updates are generally scheduled between 8:00 p.m. and 8:00 a.m. or on Sundays. However, in the event of an emergency, such operations may take place outside these timeframes.
NORMADOC shall not be held liable for any damage and/or loss suffered by the Client or, where they are distinct persons, the User, resulting from the suspensions or interruptions mentioned in the two preceding paragraphs—even if such interruptions occur without prior notice.
The Client undertakes to report any technical malfunction of the Site to NORMADOC’s customer support, available Monday to Friday from 9:00 a.m. to 6:00 p.m., at the following address: support@normadoc.com.
Any issues related to Internet access or the configuration of the User’s hardware or software are not covered by customer support.

3. Site changes
NORMADOC reserves the right to make any modifications to the Site, including changes to its structure and layout, or to replace existing features with new ones, provided that such modifications do not materially alter the Client’s Products and Services.

4. No warranty
NORMADOC provides no express or implied warranty regarding any of the documentary resources (including standards, books, reports, technical documentation, etc.), news items, content (including but not limited to training materials, information, texts, images, data, audio, audiovisual or multimedia content), databases, websites, software solutions and/or search engines made available to Users by NORMADOC on or through the Site and/or through the Products or Services or their components, including RSS feeds (collectively, the “Information”).
The Information is provided without any warranty as to its accuracy, completeness, or suitability for any specific needs or purposes. It consists of raw data provided “as is,” and is sourced from third-party providers.
The User is solely responsible for selecting, using and interpreting the Information, as well as for the results obtained via the Site and/or the Products and/or Services, the relevance of such results to their particular situation or area of inquiry, and any actions, decisions, or advice derived or issued on the basis of such Information.
The selection, use, and application of this Information is therefore carried out entirely at the Client’s own risk, to the exclusion of any liability on the part of NORMADOC.
NORMADOC is not intended to replace the User in conducting research and/or interpreting the Information obtained, and its services shall under no circumstances be considered legal advice or the drafting of legal instruments within the meaning of French Law No. 71-1130 of December 31, 1971, as amended by Law No. 90-1259 of December 31, 1990.

5. Protected Content
    5.1 Ownership of Content
The Information made available to the User by NORMADOC, as well as all distinctive signs, trademarks, logos, texts, comments, illustrations, and images reproduced on the Site, within the Products, Services, third-party platforms accessible through the Products or Services, and in the online or offline descriptions of such Products and Services, are protected by intellectual property rights, including but not limited to copyright, database producer rights, and trademark rights, in accordance with the provisions of the French Intellectual Property Code (hereinafter the “Content”).
NORMADOC and/or its Publishers and/or relevant partners are the sole holders of all intellectual property rights related to the Content. The provision of the Content does not entail any transfer of such rights to the Client or to the User.
    5.2 Right of access and/or use
5.2.1 A right of access to and use of the Personal Areas and/or the Information is granted to the Client for internal use only, on a personal, limited (with no right to adapt or translate), non-exclusive, non-commercial (with no right to commercially exploit), and non-transferable basis (i.e., no communication, disclosure, transfer, sale, sub-license, loan, rental or any other form of distribution or sharing with third parties, whether in whole or in part, for free or for consideration, including as part of a business contribution), strictly for use by its authorized Users and for the duration, purpose, connection media, and from the specific site(s) identified in its Associated Agreement.
Where access is granted to a NORMADOC partner, this right is granted solely for the purpose of demonstrating the functionalities of the Site and presenting excerpts of the Information.
In all other cases, the right of access and use is granted strictly for documentary purposes, subject to the conditions set forth below and to any more restrictive provisions imposed under specific licenses (Article 10) :
- The Client who wishes to publish any Information on its company intranet to allow access by its personnel must first ensure that all such personnel are identified as authorized Users under the terms of its Associated Agreement.
- Unless otherwise agreed, a User may only access their personal Area from two devices of their choice (such as computers, mobile phones, tablets, etc.).
- Depending on the terms agreed under the Associated Agreement, the User may access the Information in read-only mode or via download and/or printing. In the latter two cases, the User is reminded that they may reproduce, extract, or reuse insubstantial portions—whether qualitative or quantitative—of the Information solely for internal use, provided that they do not reconstruct or attempt to reconstruct from the Information any database or service that directly or indirectly offers the same or a comparable product, service, or content as that of NORMADOC, and provided they do not distribute or sell, in any form, all or part of the Information to third parties, including through repeated and systematic extraction of insubstantial portions.
- Where certain compliance standards authorize the Client and/or the User to reproduce codes (e.g., language, currency, or country codes) and/or graphic symbols (e.g., pictograms), for example as part of signage for information purposes, such codes or symbols may under no circumstances be published, posted, or resold, including via the Internet.
5.2.2 The following activities are strictly prohibited and, where necessary, NORMADOC expressly objects to:
• Any text or data mining activities (including any data harvesting or scraping operations), particularly within the meaning of Article L. 122-5-3 of the French Intellectual Property Code;
• The use of robots, data crawlers, or any other tools that enable the automated extraction of all or part of the Information or any of its components;
• The substantial extraction of all or part of the Information or any of its components;
• The use of the Information for the training, development, or operation of any artificial intelligence solution, whether generative or not.
All such operations, including those performed using automated data collection tools, constitute acts of infringement unless a specific, prior, and written agreement has been obtained from NORMADOC.
In accordance with Article R. 122-28 of the French Intellectual Property Code, which provides that the objection referred to in Article L. 122-5-3(III) may be expressed by any means, the absence of metadata associated with the Information does not affect the validity of the objection expressed in this clause.
Any use not covered by this License must be subject to a specific, prior, and express authorization from NORMADOC, its rightsholders, or its Publishers. In the absence of such authorization, any unauthorized use shall constitute a civil and criminal offense of infringement and shall be subject to the penalties set forth in the “Term / Suspension / Termination” clause below.
5.2.3 It is further specified that the purchase of Information in physical product form also entails an obligation for the User to restrict its use to personal and internal purposes only, and prohibits photocopying, reproduction, or sharing of such Information in any form whatsoever, except as permitted by law or with the prior, express, and written consent of NORMADOC.
    5.3 Non-infringement warranty
NORMADOC shall defend, indemnify, and hold harmless the Client and/or the User against any claim brought by a third party alleging infringement of intellectual property rights resulting from access to or use of the Information or the Content. This indemnification shall cover any amounts payable under a final court judgment or settlement of such claim, provided that the Client and/or the User: (i) promptly notifies NORMADOC in writing of the claim ; (ii) reasonably cooperates with NORMADOC, at NORMADOC’s expense, in the defense and settlement of the claim; and
(iii) grants NORMADOC sole authority to conduct the defense and settle the claim.
NORMADOC disclaims all liability for claims arising from (I) elements not directly provided by NORMADOC (e.g., links within the Products or Services that redirect to third-party resources), or (II) any breach of this License or the Associated Agreement.

6. User obligations
THE INFORMATION IS UPDATED AT VARIABLE INTERVALS, DEPENDING ON ITS TYPE. IT IS THE USER’S RESPONSIBILITY TO VERIFY THE DATE OF LAST UPDATE, WHICH APPEARS ON EACH PIECE OF INFORMATION, BEFORE ANY USE.
The User shall not use the Site, the Content, or the Information:
- In a diverted, unreasonable, excessive, malicious manner and/or in violation of this License and/or the Associated Agreement and/or applicable laws and regulations ;
- In a way that contravenes public order or public decency, or that is intended to promote illegal activities;
- In any manner that may compromise the stability or security of the Site or the Information.
NORMADOC shall under no circumstances be held liable for malfunctions of the Site or the Information resulting from the User’s failure to comply with these commitments.
Any use beyond the scope of this License or the Associated Agreement shall fall under the sole responsibility of the User and/or the Client.
Except where necessary to properly complete or update User accounts, the User agrees not to enter, whether on the Site (e.g., in chats or areas dedicated to comments) or within the Information (e.g., annotation fields in documentation), any Sensitive Data as defined by the Regulation, or any data not required for the intended Purposes (the terms "Data," "Regulation," and "Purposes" are defined in Article 7 below), or any data protected by legal, ethical, or contractual confidentiality obligations.
The User further agrees to implement all necessary measures and safeguards to ensure compliance with their obligations and not to circumvent or disable any technical information or protection measures applied to all or part of the Content and/or the Site.
Upon termination of the Associated Agreement, the User shall destroy all Information and, more generally, any files or copies, whether electronic or paper, downloaded via or from the Site as part of a NORMADOC Service.
This article shall survive the expiration, termination, or cancellation, in whole or in part, of the License.

7. Personal Data
    7.1 General information
Any processing of personal data, as defined under applicable data protection regulations (the “Data”), must be carried out in compliance with such regulations, including in particular French Law No. 78-17 of January 6, 1978, known as the “Informatique et Libertés” law (as amended), and Regulation (EU) 2016/679 of April 27, 2016, on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, commonly referred to as the General Data Protection Regulation or GDPR (together referred to hereinafter as the “Regulation”).
EVERY NATURAL PERSON HAS THE RIGHT TO ACCESS, RECTIFY, ERASE, AND PORT THEIR DATA, AS WELL AS TO RESTRICT AND OBJECT TO THE PROCESSING OF THEIR DATA, AND TO DEFINE INSTRUCTIONS REGARDING THE MANAGEMENT OF THEIR DATA AFTER THEIR DEATH.
Under these terms, any User and any Client may exercise their rights at any time by sending an email to: support@normadoc.com.
DO NOT CALL LIST (BLOCTEL)
In accordance with Articles L. 223-1 and seq. of the French Consumer Code, Consumers are informed that they have the right, if they wish so, to register on the BLOCTEL telephone solicitation opt-out list, managed by the company Worldline, and accessible at: www.bloctel.gouv.fr. Registration on this list is free of charge and binding on all professionals, except for those with whom the Consumer has an existing contractual relationship.
All information relating to the Data processed or subcontracted by NORMADOC is available in its Privacy and GDPR Policy.
    7.2 Data of Site visitors
Les Données des visiteurs peuvent être collectées par NORMADOC à des fins de statistiques, de marketing et d’optimisation du Site via des cookies et autres traceurs sur Internet. Ces collectes de Données et les droits des Utilisateurs concernés font l’objet d’une information distincte à travers des mentions figurant sur le Site et dans la Politique de confidentialité et RGPD de NORMADOC.
    7.3 Data of Users and Clients
7.3.1 Information and consent
For the purposes of entering into and properly performing this License and/or the Associated Agreement, the Client, and where applicable the User, provide NORMADOC with Data. NORMADOC may also collect such Data through other means, including through its own tools, cookies, or trackers on its Sites.
The Data thus collected and processed by NORMADOC is necessary to access NORMADOC Products and Services, and more generally, to access its Site. Failure to provide such Data or any objection to its processing will prevent proper delivery of the Information. NORMADOC shall not be held liable for any failure resulting from the non-communication of or objection to the processing of Data by the Client and/or the User.
By agreeing to the terms of this License, the Client also consents to the collection and processing of its own Data and shall, where applicable, obtain the consent of its Users for the collection and processing of their Data for the Purposes described below.
7.3.2 NORMADOC’s commitments
NORMADOC is committed to using the Data to which it has access solely for the specific processing purposes defined in its Privacy and GDPR Policy (the “Purposes”), including but not limited to:
- User authentication management;
- Measurement of audience and Site and Content engagement (statistics);
- Access management (for compliance with the scope of selected Products and/or Services);
- Personalization and user preferences (management of themes, newsletters, and notifications);
- Document management (storage of searches, management of folders, notes, and consulted documents);
- Site maintenance (incident tracking and support request handling);
- Fulfillment of contractual obligations (see the section below entitled “Evidentiary Data”).
NORMADOC retains the Data for the duration necessary to fulfill the Purposes and undertakes to implement all necessary measures to comply with the obligations arising from the applicable Regulation, including:
- processing the Data in accordance with the stated Purposes;
- implementing appropriate measures to ensure the security and confidentiality of the Data;
- ensuring that subcontractors and partners comply with their obligations under the Regulation, particularly in the event of any transfers of Data outside the European Union.
7.3.3 Evidentiary Data
NORMADOC collects and processes certain data enabling the traceability of Users and computer terminals connecting to its Site (such as date, time, IP address, visitor’s device settings, page(s) viewed, duration of audio or video content viewing, browser used, email address, logs, usage and behavioral statistics). The Data thus collected by NORMADOC during use of the Site - along with connection, browsing, download, and more generally, usage data - is retained by NORMADOC for the purposes of access control, protection of NORMADOC’s rights, and evidencing the performance of, and/or any breach of, this License, the Associated Agreement, and/or NORMADOC’s rights.
Such Evidentiary Data shall be deemed conclusive between the User and NORMADOC, unless proven otherwise.
In the event of an audit revealing non-compliant use by the Client, NORMADOC reserves the right to request from the User the payment of :
(i) any amounts that should have been paid in accordance with the applicable pricing; and
(ii) any reasonable costs incurred by NORMADOC in analyzing the data, where the non-compliant use reveals a discrepancy of more than 5% between the amount paid and the amount actually owed to NORMADOC, or where such analysis costs are imposed on NORMADOC by a Publisher for audit purposes.
NORMADOC may also collect Data relating to the viewing or listening of video or audio content made available on the Site, including the number and duration of views by Users, in order to allow Users and the Client to demonstrate that they have completed training hours in accordance with their legal or regulatory obligations, and to measure content engagement.
In the context of training-type Products, the Client may also access Users’ viewing data (duration and content viewed). In doing so, the Client becomes the recipient of the related Data and assumes sole responsibility for any processing it undertakes in connection with such Data, within the meaning of the Regulation.

8. Limitations and exclusions of liability
    8.1 Force majeure
Neither Party shall be held liable for any failure to perform resulting from an event of force majeure, as defined under applicable law and case law, including but not limited to attempted intrusions or security breaches of the Site or the Information, failures or strikes affecting telecommunications networks or carrier services, natural disasters (such as flooding, fire, earthquake or explosions), pandemics or epidemics, administrative or governmental order, war, strikes or labor disputes, or any failure by a subcontractor to the extent such failure is itself attributable to a Force Majeure event under this clause.
If the interruption resulting from a Force Majeure event lasts more than thirty (30) calendar days, NORMADOC may terminate this License and the Associated Agreement by sending the Client a registered letter, in either paper or electronic form, with acknowledgment of receipt.
    8.2 Exclusions of liability
NORMADOC shall in no event be held liable for indirect, incidental, or consequential damages of any kind, including but not limited to loss of opportunity, profits, business, goodwill, orders, revenue, clients, or data, or for moral damages.
The Client and/or the User remain the sole responsible for :
- The selection of the Information and its suitability for their needs, and acknowledge having received all necessary and sufficient advice and information regarding (i) the conditions of use, (ii) capabilities, and (iii) performance limitations of such Information ;
- Their use of the Information, any interpretation thereof, any advice issued based on it, the results obtained, and any questions formulated or actions undertaken based on the Information provided.
NORMADOC shall not be liable for any damage arising from: (i) unsuccessful, incorrect, or partially erroneous searches; (ii) improper use of the Information, including inaccurate or incomplete Information; (iii) indexing errors; (iv) delays in publication; (v) incomplete or insufficiently comprehensive Information.
Likewise, NORMADOC shall not be liable for any damage suffered by the Client, User, or any third party, whether directly or indirectly caused by : (i) the User’s breach of this License; (ii) mere negligence; (iii) use of the Information for purposes other than those disclosed and intended;
(iv) failure to install updates provided by NORMADOC or its partners ; (v) third-party products or services accessible through the Information; or (vi) any content or downloads accessed via links to platforms other than NORMADOC Sites.
    8.3 Limitations of liability
In all cases:
• Except for its warranty against infringement (see Article 5.3), NORMADOC shall only be bound by an obligation of means;
• In any case where NORMADOC's liability is established, and to the fullest extent permitted by law, regardless of the nature, basis, or form of the claim (including claims brought by third parties, authorities, or for indemnification), it is expressly agreed that, unless gross negligence or willful misconduct is duly proven by the Client, NORMADOC’s total liability under this License and the Associated Agreement, taken together, shall not exceed: (i) where the License is linked to a Service Agreement: the amount paid by the Client for the Service during the six (6) months preceding the event giving rise to the liability; or (ii) where the License is linked to a Product purchase: the amount paid by the Client for said Product.
Furthermore:
- In the event of a breach by either Party of its contractual obligations, the affected Party shall take all necessary steps to mitigate its damage;
- The Client and/or the User may not bring any claim, regardless of its nature or legal basis, more than one (1) year after the event giving rise to such claim;
- The limitations and exclusions of liability set forth in this Article 8 form part of the essential contractual balance agreed between the Parties under this License and its Associated Agreement.
This Article shall survive the termination, rescission, or expiration—whether total or partial—of this License, regardless of the cause.

9. Term / Suspension /Lapse/ Termination
This License is granted for the duration of the Associated Agreement.
It shall be suspended in the event of suspension of the Associated Agreement, and may also be suspended in the event of a suspected material breach of this License, particularly in the circumstances referred to in Articles 1.4 (“Monitoring and security”) and 7.3.3 (“Evidentiary Data”).
This License shall lapse upon the nullity, termination, or rescission of the Associated Agreement, or upon exercise of the statutory right of withdrawal under the latter.
In the event of a material breach by one of the Parties of this License, the other Party may:
• Refuse to perform, or suspend the performance of, its own obligations;
• Seek termination or rescission of this License pursuant to the termination clause set forth below;
• Claim compensation for any damages resulting from such breach.
Sanctions that are not mutually exclusive may be combined, and damages may always be awarded in addition. Any reduction in the amounts due under the agreement to which the License is attached may only be considered as a remedy with NORMADOC’s express prior consent.
The Parties expressly agree to exclude the application of Article 1226 of the French Civil Code; termination or rescission of this License may only occur under the following clause:
Each Party may terminate or rescind this License as of right, without prior judicial intervention and without compensation, in the event of a material breach by the other Party of one of its obligations, not fully remedied within fifteen (15) days following the sending of a registered letter (paper or electronic) with acknowledgment of receipt. The following shall constitute material breaches in particular :
• failure by the User to comply with the provisions of the articles “Access to the Site,” “Site Availability,” “Protected Content,” and “User Commitments”;
• continuous failure by NORMADOC, for a period of three weeks, to fulfill its obligation of means to ensure proper functioning and availability of the Site, as provided for in the article “Site Availability.”
Upon expiration or termination of the License, regardless of its cause :
(i) NORMADOC shall not be held liable for any direct or indirect consequences arising from the closure of a User account or the resulting revocation of access rights ; (ii) the Client shall inform the User of the termination of the License and closure of their access; and (iii) the Client and/or User agrees to delete all electronic or printed copies of the Information acquired as part of a NORMADOC Service.

10. Specific licences
Certain Products or Services on the Site provide access to areas governed by specific licenses issued by the Publishers and/or providers of such services.
These third-party licenses shall prevail over this License in the event of any inconsistency, and are accessible within the relevant online areas, including via the following links:

11. General provisions
    11.1 Contractual framework. This License may be revised at any time, and the version applicable to the use of the Site and the Information is the one in force on the date of such use.
In the event of any inconsistency between a provision of this License and a provision of the Associated Agreement, the provisions of the latter shall prevail, provided that they expressly state that they derogate from this License.
With respect to the use of the Site and the Information, this License and, where applicable, the licenses of its Publishers referenced in Article 10, shall constitute the sole binding instruments between the Client and the Users, and together form the only applicable agreement between the Parties regarding access to and use of the Products, Services, and the Site, to the exclusion of any contractual documentation issued by the Client, including its general terms of use and/or any of its own licenses.
If any provision of this License conflicts with applicable legal or regulatory provisions and/or is declared null, void or unenforceable by a competent court, such provision shall be deemed unwritten, and all other provisions of the License shall remain in full force and effect.
No waiver or tolerance under this License shall be construed as a waiver of any right.
Any statements, agreements, waivers, or other acts or omissions by the Parties shall not be construed as modifying this License and shall only be binding if made in writing and duly signed by both Parties.
    11.2 Miscellaneous.
NORMADOC is authorized to subcontract the performance of this License, in whole or in part. It shall remain fully liable to the Client and/or the User for the acts and omissions of its subcontractors.
NORMADOC may also freely assign, at any time, all or part of its rights and obligations under this License to any third party of its choice, including by way of business transfer, asset contribution, share transfer, or merger.
The Client and/or the User expressly waive the benefit of Articles 1221 and 1222 of the French Civil Code.
The Parties shall at all times operate independently in the performance of this License, which shall not be construed as creating any relationship of subordination or a de facto partnership between them.

12. Claims - Dispute resolution
    12.1 Governing law. This License shall be governed by French law. Its language of interpretation shall be French.
    12.2 Conciliation and Mediation. In the event of any dispute of any kind arising from the interpretation or performance of this License, and prior to initiating any legal proceedings, the Parties shall seek an amicable resolution. In the absence of such a resolution, they undertake to hold a conciliation meeting, at the initiative of the more diligent Party, within three (3) weeks of receipt of a written request to that effect.
Following this meeting, any Consumer shall have the right to refer the dispute to the consumer mediation body to which NORMADOC is affiliated: CNPM - MEDIATION DE LA CONSOMMATION - by submitting a claim online at: https://cnpm-mediation-consommation.eu, or by post to: CNPM – MEDIATION – CONSOMMATION, 27 avenue de la Libération, 42400 Saint-Chamond, France.
Consumers may also make use of the European online dispute resolution platform:

    12.3 Jurisdictions / Arbitration. If conciliation and/or mediation attempts fail, any dispute shall fall, except in the case of Consumers, under the exclusive jurisdiction of the Paris Commercial Court, even in the event of summary proceedings, third-party claims, or multiple defendants.
For Consumers only: If conciliation and/or mediation attempts fail, any dispute shall be brought before one of the territorially competent courts pursuant to the French Code of Civil Procedure. The Consumer may also bring the matter before the court of the place where they resided at the time of placing the order or at the time the harmful event occurred.
For Clients who are not citizens of a Member State of the European Union: The Parties may agree to submit any dispute to arbitration administered by the International Chamber of Commerce (ICC), in accordance with the ICC Rules of Arbitration in force at the time the request for arbitration is filed.
The arbitration shall take place in Paris, France, and shall be conducted in French. The arbitral tribunal shall be composed of three arbitrators appointed in accordance with said rules. The applicable law shall be French law.
The arbitrators shall render their award as promptly as possible and no later than four (4) months from the constitution of the arbitral tribunal.
The tribunal shall have no authority to award punitive damages. Each Party shall bear its own arbitration costs and shall be responsible for its own legal counsel, experts, and witnesses. The administrative costs of the arbitration, including arbitrators' fees, shall be shared equally between the Parties, unless otherwise decided by the arbitral tribunal.
The arbitral award shall have the force of a final and binding decision rendered as last resort and may be recognized or enforced in any competent jurisdiction.
However, the Parties may elect to enforce Articles 5 (Protected Content), 6 (User Commitments), and 10 (Specific Licenses) of the NORMADOC License directly before competent courts rather than through arbitration.
